Vaulta Governance Transition: Status Report & Analysis

The Vaulta Network has entered the initial execution phase of the transition of all assets from the Foundation to a new entity controlled by Block Producers. This phase is limited to research and external consultation and does not include final legal signing or asset transfers. Block Producers have formally approved a temporary transition structure through on-chain multisig votes.

These approvals establish a transparent execution framework that allows Block Producers and stakeholders to observe progress, provide input, and influence the final outcome before any binding decisions are made.

This report summarizes the approved multisig actions, clarifies the mandate and limits of the Transition Team, and outlines the planned legal and governance steps toward the creation of the Vaulta Stewardship Trust, which is intended to hold and manage network assets under on-chain governance on behalf of the BPs.

 

Status of the Vaulta Stewardship Trust (VST)

This proposal sought Block Producer approval (15 of 21) to authorize the intent to create a new legal entity—the Vaulta Stewardship Trust (VST) in the United States of America—to ensure continuity of the Vaulta Network as the existing Vaulta Foundation shuts down. The VST should be a minimal, neutral statutory Trust, with a wholly owned operating LLC, designed to hold and steward off-chain assets (funds, IP, domains, services) on behalf of the network, which itself cannot legally own assets.

Governance of the trust and LLC will be fully bound to on-chain MSIG control by Block Producers, mirroring the 15/21 approval threshold. This proposal is a signal and authorization step that allows research and consultation on how to legally establish the structure so assets from the Foundation can be transferred.

The approval threshold of 19 out of 21 Block Producers signals strong network consensus that the intent of this proposal should be followed and advanced.

MSIG2 establishes a Vaulta Transition Team, defining both its membership and its limited mandate.

The Transition Team has no governance, execution, or approval authority of any kind. All decision-making power remains solely with the Vaulta Network Block Producers acting through the 15-of-21 MSIG threshold.

The transition team’s role is strictly limited to:

  • Observing and witnessing discussions with legal counsel, ensuring that conversations accurately reflect the intent expressed by Block Producers and the network.

  • Facilitating communication between legal counsel, proposal authors, and Block Producers, without providing approvals of any kind.

  • Collecting feedback from Block Producer communities and stakeholders, without interpretation or modification.

  • Relaying consolidated feedback back to the proposal authors so the proposal text, legal drafts, and structure can be refined and improved.

  • Ensuring transparency, so that all legal drafts, assumptions, and implications are visible to Block Producers and Stakeholders before any further MSIG decision is requested.

Importantly, the voluntary Transition Team does not receive any long-term power, compensation of any kind, or asset control. Its authority is procedural and temporary.

Legal Workstream: Trust and LLC Formation

Detroit Ledger Technologies has begun engaging with legal counsel in the United States (Source) to identify the most suitable legal partner to support the Vaulta Network during this transition.

 

Current process:

  • Initial consultations with multiple law firms are underway.

  • Once a legal partner is selected, a joint session is expected involving:

    • the Transition Team,

    • legal counsel,

    • and other optional relevant stakeholders.

 

The purpose of this phase is to:

  • Validate that the Trust and LLC structures are legally sound,

  • Identify and close potential governance or liability gaps,

  • Ensure that ultimate authority remains exclusively with a 15-of-21 BP multisig.

 

After legal drafting is complete:

  • Final documents will be presented to Block Producers in a dedicated BP call,

  • BP feedback will be incorporated,

  • A final review by stakeholders and BPs will precede the final MSIG(s) required to create the Vaulta Stewardship Trust and execute asset transfers.

This model ensures that:

  • Legal entities cannot act independently of on-chain governance,

  • No individual, Transition Team member, or former foundation actor retains unilateral power,

  • The network retains full authority through elected Block Producers.

Status of the Vaulta Development Team (VDT) Proposal

In parallel, work continues on the Vaulta Development Team (VDT) framework.

 

Proposal from Aaron Cox

The proposal submitted by Aaron Cox remains under active refinement but has not yet advanced to final approval.

Key open issues identified by some Block Producers:

  • Insufficient clarity around the scope of deliverables,

  • Unclear guarantees that produced work and IP belong to the network, not the VDT entity.

"We, the Block Producers of the Vaulta Network, elected by the $A token holders, hereby express our support for the efforts of Areg Hayrapetian to form a U.S. entity, staff it as needed, and pursue funding to resume core development services for the Vaulta Network and coordinate with key stakeholders on a technical development roadmap. This entity, to be called the Vaulta Development Team, will not own any intellectual property of the Vaulta Network and will receive direction from the network through duly established governance processes."

 

Governance Analysis: Where the Transition of Assets from the Foundation to the new entity stands

  • The Transition Team is a tool, not a power center
    Its mandate ends once the Vaulta Stewardship Trust is established. It is expected to dissolve thereafter.

  • Legal structures remain subordinate to on-chain governance
    All authority flows and continues to flow from the 15-of-21 BP multisig.

  • Process discipline is replacing urgency-driven decision-making
    Legal review, BP feedback, and staged MSIG approvals reduce long-term risk.

  • Asset transfer is now procedural, not political
    The final objective is a clean, neutral transfer of assets into a BP-controlled Trust.

 

Current Status & Outlook

With the approval of the intent to create a Vaulta Stewardship Trust and Transition Team to witness, observe, and help with communications, feedback, and document improvements, the Vaulta Network has moved from conceptual governance reform into structured execution.

The process now follows a clearly defined path: legal validation, BP review, final MSIGs, Vaulta Stewardship Trust creation, and asset transfer.

Crucially, the design ensures that no individual, Transition Team, or legal entity accumulates lasting power. Authority and ownership remains where the network has consistently demanded it to be: with the elected 21 Block Producers.

If executed as planned, this transition will represent the completion of one of the most comprehensive and disciplined governance realignments in Vaulta’s history—and potentially a landmark moment for blockchain governance more broadly.

By legally binding on-chain 15-of-21 Block Producer consensus directly into an off-chain Trust and its wholly owned operating LLC, Vaulta establishes a governance model that meaningfully bridges decentralized consensus with enforceable real-world legal structures. This design preserves community control, eliminates discretionary intermediaries, and ensures that no individual or organization can act outside explicit network authorization.

Very few blockchain networks have attempted to carry decentralized governance this far into the legal and operational layer. Vaulta’s approach demonstrates that decentralized systems can achieve institutional-grade continuity, asset stewardship, and regulatory resilience without compromising on-chain sovereignty.

For investors and long-term stakeholders, this transition could signal maturity: a network deliberately engineering permanence, risk reduction, and governance clarity—positioning Vaulta to endure beyond any single foundation, team, or market cycle.
